1. Services Provided

Gold Au Digital Marketing and Web Services Inc. agrees to provide the following services (if included in our agreement and invoiced), please see the contracted service above:

Social Media Marketing

Web Design

Search Engine Optimization (SEO)

Software - Lokalii - CRM for Small Businesses

Social Media Management

Graphic Design

Logo Design

Review Optimization

App Development

2. Software and Additional Costs

In addition to service costs, the following costs are associated with the use of Lokalii software and will be directly billed through the software:

Text Messages: $0.03 per message segment (up to 161 characters)MMS Messages: $0.05 per message segment (up to 161 characters)Email: $0.02 per email (over 5000/month)

3. Payment Terms

The terms of payment for each service will be outlined on the invoice provided to the Client. Payments are due upon receipt of the invoice unless otherwise specified.

4. Cancellation Policy

The Client may cancel the services provided under this Contract by giving a written notice 14 days in advance to

5. Refund Policy

No refunds will be issued for service costs once services have been rendered.

6. Late Payment

Payments not received within [7] days of the due date will incur a late fee of $40 per month on the outstanding balance. Services may be suspended or terminated if payments are not made promptly.

7. Right to Disclose

The Service Provider reserves the right to disclose any information as necessary to comply with legal obligations, protect its rights and operations, or enforce the terms of this Contract.

8. Amendments

Any amendments or modifications to this Contract must be made in writing and signed by both Parties.

9. Transfer of Agreement

This Contract is non-transferable and may not be assigned by either party without the prior written consent of the other party.

10. Anti-Spam Compliance

The Client agrees to adhere to all applicable anti-spam laws in Canada, including but not limited to the Canadian Anti-Spam Legislation (CASL).

11. Independent Contractor

The relationship between the Service Provider and the Client is that of an independent contractor. Nothing in this Contract shall be construed to create an employer-employee relationship, partnership, or joint venture between the Parties.

12. Privacy Agreement

Gold Au Digital Marketing and Web Services Inc. is committed to protecting the privacy and confidentiality of the Client’s information. The following terms apply:

Data Collection: Personal information such as name, contact details, and business information necessary to perform the contracted services will be collected.
Data Use: Collected data will be used solely for the purpose of providing the agreed-upon service.
Data Sharing: The Client’s data will not be shared with any third party without prior consent, except as required by law.
Data Security: Industry-standard security measures will be implemented to protect the Client’s data from unauthorized access, use, or disclosure.

Data Retention: The Client’s data will be retained only as long as necessary to fulfill the services or as required by law.

Client Rights: The Client has the right to access, correct, or delete their personal information held by the Service Provider. Requests should be made in writing to [email protected].

13. Termination

Either party may terminate this Contract for any reason with a 14-day written notice to the other party. Upon termination, the Client agrees to pay for all services rendered up to the termination date.

14. Miscellaneous

Governing Law: This Contract shall be governed by and construed in accordance with the laws of the province of British Columbia, Canada. Entire Agreement: This Contract constitutes the entire agreement between the Parties and supersedes all prior agreements or understandings, whether written or oral. Amendments: Any amendments or modifications to this Contract must be made in writing and signed by both Parties.
